These Terms of Use (“Terms”) govern your access to and use of factualiq.ai and any related content, features, or materials (collectively, the “Site”) provided by FactualIQ LLC (“FactualIQ,” “we,” “us,” or “our”). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, please do not use the Site.

1. Who may use the Site

The Site is intended for business audiences and is not directed to individuals under the age of 18. By using the Site, you represent that you are at least 18 years old and have the authority to agree to these Terms on your own behalf or on behalf of the organization you represent.

“FactualIQ” and associated logos are trademarks of FactualIQ LLC. Other trademarks appearing on the Site are the property of their respective owners.

4. User submissions and communications

If you submit information to us through a contact form, demo request, or similar feature, you grant us the right to use that information to respond to you and to provide the services you have requested, consistent with our Privacy Policy. Please do not submit confidential or proprietary information through the Site unless we have a separate agreement in place governing that information.

The Site may contain links to third-party websites or resources. These links are provided for convenience only. We do not endorse and are not responsible for the content, products, or practices of any linked third-party site. Your use of any third-party site is at your own risk and subject to that site’s terms.

6. Confidentiality of pitch and proposal materials

Pitch decks, proposals, and similar materials shared directly with you by FactualIQ are provided solely for your evaluation of our services and remain our confidential and proprietary information. You agree not to distribute, reproduce, or disclose these materials to third parties without our prior written consent, except as necessary to evaluate our services within your own organization.

7. Disclaimers

THE SITE AND ITS CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that the Site will be uninterrupted, error-free, or secure, or that any information on the Site is complete, accurate, or up to date. Any reliance you place on information from the Site is at your own risk. Nothing on the Site constitutes legal, financial, or professional advice.

8. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, FACTUALIQ AND ITS OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SITE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM YOUR USE OF THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100). Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

9. Indemnification

You agree to indemnify and hold harmless FactualIQ and its officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys’ fees) arising out of your use of the Site or your violation of these Terms.

10. Termination

We may suspend or terminate your access to the Site at any time, without notice, for conduct that we believe violates these Terms or is otherwise harmful to other users, us, or third parties. Sections of these Terms that by their nature should survive termination (including Sections 3, 6, 7, 8, 9, and 11) will survive.

11. Governing law and disputes

These Terms are governed by the laws of the State of Colorado, without regard to its conflict-of-laws principles. Any dispute arising from these Terms or your use of the Site will be subject to the exclusive jurisdiction of the state and federal courts located in Colorado, and you consent to personal jurisdiction in those courts.

12. Changes to these Terms

We may update these Terms from time to time. When we make material changes, we will update the “Last updated” date at the top of this page. Your continued use of the Site after changes take effect constitutes acceptance of the revised Terms.

13. Miscellaneous

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any provision of these Terms is not a waiver of that provision. These Terms, together with our Privacy Policy, constitute the entire agreement between you and FactualIQ regarding use of the Site.
